For the purposes of any recipient understanding how these Terms and Conditions are deemed to apply to them, they are considered as a “the Licensee” in all such references below for the period only of, and not exceeding, the annual duration of their subscription.
30-Day Evaluation Download Version
The Download Version issued by Lighting Reality Ltd that is termed “30-Day Evaluation” can be obtained freely from the Licensor.
For the purposes of any recipient understanding how these Terms and Conditions are deemed to apply to them, they are considered as a “the Licensee” in all such references below for the period only of, and not exceeding, the 30 Days of their Evaluation.
Lighting Reality Reader
This Lighting Reality Reader can be obtained freely from the Licensor and utilised for its intended purpose to read, review and print Lighting Reality Design Software ‘TRANSMIT’ files that have been originated from a fully Licensed and enabled version of Lighting Reality Design Software.
Intellectual Property Rights
The Licensor is the owner of all the Intellectual Property Rights in the Software including the Copyright. Other than as permitted under the terms of this License the Licensee must not do anything with the Software which is inconsistent with the ownership of the Intellectual Property Rights in the Software by the Licensor.
Grant of Single-User Licence
The Licensor grants the Licensee a non-exclusive license limited solely to use the Software including any accompanying documentation in the manner stated below.
Additional License Terms
The Licensor grants to the Licensee the right to install and use the Software for the sole purposes of its use in the business of the Licensee as a tool in order to aid the Licensee in the design or modification and subsequent viewing of roadway and outdoor area lighting schemes. The Licensee may install the Software on one computer only solely for the purpose of their own individual use.
Uses Not Permitted
The Licensee may not: –
- Permit use of the Software by any other person(s);
- Use the Software on any other than one designated computer;
- Grant sub-licenses in respect of the Software;
- Copy the Software other than for the purposes of backup or security;
- Modify, amend or de-compile or reverse engineer in any manner the Software otherwise and as permitted by law;
- Use the Software for any purpose other than specified in this License;
- Assign, charge, rent or lease the Software;
- Utilise the 30 Day Evaluation Version as part of their commercial operation.
excepting that: for the separate component of the Software termed “The Lighting Reality Reader” which can be obtained freely from the Licensor and distributed solely for its intended purpose to read review and print Lighting Reality Design Software ‘TRANSMIT’ files shall be subject only to the Uses Not Permitted above in respect of items annotated 5,6 and 7.
Disclaimer
The Software is a computer aided design tool and is intended for use by professional lighting engineers and others involved in designing lighting schemes and the Licensee is responsible for establishing the adequacy and reliability of all output results from the Software.
The Licensor expressly excludes all liability to the Licensee (other than in respect of damages arising by way of death or personal injury) arising out of the use of the Software and in any event the liability of the Licensor shall not exceed the sum of £500,000.
The Licensee will indemnify the Licensor against all claims made against the Licensor (other than claims alleging breach of the copyright in the Software) arising from the possession or use of the Software by the Licensee or by anyone using it with the consent or knowledge of the Licensee.
All warranties, conditions, undertakings or terms express or implied statutory or otherwise other than as stated in this Agreement in respect of the Software are hereby specifically excluded.
Photometric Data
Manufacturers’ Photometric and accompanying data has been provided to Lighting Reality Limited for onwards distribution for use with this Software. Lighting Reality Limited undertakes no warranty in respect of this Data and it remains the responsibility of the User to confirm its validity with the respective manufacturer as their supplier.
Warranty
The Licensor warrants that the Software will perform substantially in accordance with its published documentation provided the Software has at all times been used properly by trained personnel of the Licensee in accordance with the operating instructions and no alterations, modifications, additions or other interference accidental or otherwise by the Licensee or third parties has taken place with the Software.
Termination
In the event that the Licensee is in breach of any of the terms of this License the Licensor may terminate this License forthwith by notice in writing to the Licensee at their address delivered by Email. Termination of this License by the Licensor is without prejudice to any accrued rights prior to termination.
General
This License represents the entire agreement between the parties and all representations or warranties whether expressed or implied made prior to this License are hereby excluded. Any amendment to the terms and conditions herein must be in writing and signed by the representatives of both parties. If any provision of this License is found void or unenforceable the remainder of the terms will remain valid and enforceable.
This License, when provided in any other language but English, is done so out of courtesy to other nationalities only. The legal interpretation and application remain solely based upon the English Original. This License shall be construed and governed by the laws of England and the parties hereto submit to the jurisdiction of the English Courts.
